Commure, a healthcare technology provider, has agreed to acquire ambient artificial intelligence (AI) medical documentation and data solutions provider Augmedix for a total equity value of around $139m.

California-based Augmedix enables healthcare providers to focus more on patient care by relieving them of administrative tasks using ambient AI technology and data.

The platform converts natural conversations into organised medical notes, structured data, and real-time notifications at the point of care.

The approach boosts efficiency and clinical decision-making using language models.

Using insights from several interactions across diverse care environments, Augmedix partners with hospitals and health systems to enhance clinical, operational, and financial results.

Augmedix CEO Manny Krakaris said: “This proposed transaction with Commure provides certainty and a premium value for our stockholders, representing a transformative next step in Augmedix’s mission to unburden clinicians of administrative tasks while dramatically improving health system efficiency.

“As part of Commure, we believe Augmedix will be well-positioned to scale ambient documentation solutions to even more clinicians and health systems while simultaneously accelerating efforts to infuse more innovative features, integrations, and AI capabilities into our product suite.”

According to the terms of the agreement, Commure will acquire all outstanding shares of Augmedix common stock. Augmedix stockholders will receive $2.35 in cash per share.

The transaction has been unanimously approved by Augmedix’s Board of Directors.

The closing of the transaction is anticipated in late Q3 or early Q4, pending approval by Augmedix stockholders and the fulfilment of other customary closing conditions.

Following the completion of the transaction, the healthcare AI firm will no longer be publicly traded and will transition to a privately held company as a wholly-owned subsidiary of Commure.

Commure, which merged with Athelas in October last year, intends to finance the acquisition using its existing cash reserves and available liquidity.
